OCTAVIANO INTERIORS AGREEMENT CONTRACT
1. Parties Involved:

3. Product Sales:
The Designer may also offer products sourced from a selection of local and international wholesalers and manufacturers. The Client acknowledges that the purchase of these products will be subject to separate terms and conditions, including warranties, returns, and liabilities.
4. Responsibilities of the Parties:
a. The Client agrees to provide accurate information about the project, including budgetary constraints, preferences, and any relevant site information.
b. The Client will be responsible for obtaining any necessary permits, approvals, or permissions required for the project.
c. The Designer will use their professional expertise to develop and execute the design concept, select products, coordinate with external consultants, and manage the project in a timely and efficient manner.
5. Octaviano Interiors Payment Policy

Purpose:
This payment policy outlines the payment terms of Octaviano Interiors for our valued clients. Our goal is to provide clear, consistent, and fair payment practices that align with our commitment to exceptional service.
5.1 Hourly Rate
a) Scope: Charges on an hourly basis are applicable for any work performed outside the scope of the agreed-upon contracted work, design packages, and any variations or additional services such as but not limited to travel, documentation, and administrative tasks.
b) Billing Frequency: Hourly rate services will be billed on a fortnightly (every two weeks) or monthly basis, as discussed and agreed upon with the Client before commencement.
c) Invoicing: Detailed invoices will be provided, listing the number of hours
worked and the specific tasks completed.
5.2 Flat Fee / Fixed Price Packages**
a) Scope: These apply to certain design service project stages agreed upon with the Client.
b) Payment Schedule:
- 50% commencement: Due at the start of the project to secure the service.
- 30% progress payment: Due at an agreed-upon project milestone. - 20% upon presentation: Due upon the final presentation of the completed work.
c) Invoicing: Invoices will be issued at each payment stage.
5.3 Cost Plus
a) Scope: This payment structure is applicable to, but not limited to,
wholesale, imported, and manufactured products.
b) Payment Schedule:
- 50% upon order commencement: Due when the order is placed to initiate the procurement or production process.
- 50% prior to dispatch: Due before the products are dispatched to the Client.
c) Invoicing: A deposit invoice will be provided upon order commencement, and a final invoice will be provided before dispatch.
5.4 Percentage of Total Cost
a) Scope:** This applies to products and services related to project management.
b) Payment Schedule:
- 50% commencement: Due at the beginning of the project management services.
- 30% progress payment: Due at an agreed-upon milestone during the project.
- 20% upon presentation: Due upon the completion of the project management services.
c) Invoicing: Similar to the Flat Fee/Fixed Price Packages, invoices will be
issued at each payment stage.
5.5 Retainer Payment:
a) Scope: Octaviano Interiors offers a Retainer Payment option for long-term or ongoing projects, particularly recommended for owner-builder scenarios requiring ad-hoc design advisory services. This policy outlines the terms and conditions associated with the retainer payment option.
Retainer Benefits:
I. Clients opting for the retainer payment option will pay an upfront fee to secure Octaviano Interiors' services for a specified period.
II. The retainer option provides flexibility for ad-hoc design advisory services, empowering clients with on-demand access to our expertise.
Predictability and Time Management:
b. The retainer approach ensures predictability in billing, allowing clients to budget effectively for ongoing design services.
c. Octaviano Interiors can seamlessly manage time variables throughout the project, offering dedicated support during critical phases.
Monthly Billed Retention Rate:
d. The monthly retainer rate is determined based on the complexity of the project and the anticipated level of design advisory services required.
e. Clients will be informed of the monthly billed retention rate at the initiation of the retainer arrangement and may be subject to periodic reviews based on project dynamics.
Retainer Duration:
f. The retainer duration is agreed upon between Octaviano Interiors and the Client. It covers the specified period during which design advisory services are guaranteed.
g. Clients have the option to renew the retainer at the end of the agreed-
upon period, subject to mutual agreement.
Payment Terms:
h. The upfront retainer fee is payable upon agreement initiation and must be received before Octaviano Interiors commences any design advisory services.
i. Monthly retainer fees are billed in advance and must be paid by the specified due date.
Termination and Refunds:
j. The retainer agreement can be terminated by either party with notice as
outlined in the agreement terms.
k. Refunds for any unused portion of the retainer fee will be provided in
accordance with the terms of the retainer agreement.
Communication and Collaboration:
l. Octaviano Interiors commits to effective communication and collaboration throughout the retainer period, ensuring clients receive the agreed-upon design advisory services.
6.0 Accepted Payment Methods
6.1 Cash: For in-person transactions only.
6.2 Bank Transfer: Payments should be made to the bank account details provided on the invoice. Please include the invoice number as a reference.

6.3 HOUZZ.PRO ONLINE PAYMENTS Payment Gateway:
6.3.1 Payments for services provided by Octaviano Interiors will be processed through the Houzz.pro online payment gateway.
Transaction Fees:
6.3.2 The Client acknowledges that transaction fees are applicable for online payments through Houzz.pro platform.
6.3.3 For payments made via bank transfer through the platform, a transaction fee of 1% of the total invoice amount will be incurred.
6.3.4 For payments made via credit card through the platform, a transaction fee of
3.6% of the total invoice amount will be incurred.
Payment Authorization:
6.3.5 By choosing to make a payment through the Houzz.pro online payment gateway, the Client authorizes the processing of the payment, including the deduction of any applicable transaction fees.
6.3.6 The Client is responsible for ensuring that sufficient funds are available to cover the invoice amount and any associated transaction fees.
Fee Disclosure:
6.3.7 The transaction fees for both bank transfer and credit card payments will be clearly communicated to the Client at the time of payment. 4.2 Any changes to transaction fees by Houzz.pro will be communicated to the Client in advance.
Refunds:
6.3.8 Refunds via the Houzz.pro online payment systems are currently not supported.
6.3.9 Refunds for services will be processed via online banking
6.3.10 Fees incurred through the original payment methods, such as bank transfer or credit card, shall be offset to the final reimbursed amount.
Currency and Billing:
6.3.11 All transactions and associated fees will be processed in the currency specified in the invoice.
6.3.12 The Client is responsible for any currency conversion fees, if applicable.
Payment Confirmation:
6.3.13 The Client will receive a payment confirmation from Houzz.pro upon successful completion of the payment transaction.
6.3.14 It is the Client's responsibility to retain the payment confirmation for their records.
Dispute Resolution:
6.3.15 Any disputes related to transaction fees or payments processed through Houzz.pro will be resolved in accordance with the dispute resolution mechanisms provided by Houzz.pro.
**Policy Amendments**
Octaviano Interiors reserves the right to amend this payment policy at any time. Clients with ongoing projects will be notified of any changes in advance.
7.0 Payment Terms and Conditions
- All invoices are due within 14 days of the invoice date unless otherwise agreed upon in writing.
- Late payments may incur additional charges as outlined in our Late Payment Policy.
- A receipt will be provided for all payments.

8. Liability Policy
As an interior design company, Octaviano Interiors is committed to providing high-quality design services and retail products to our clients. However, certain external factors beyond our control may impact the delivery of services and products. This policy is designed to outline the limitations of our liability in such situations:
8.1 Suppliers and Manufacturers:
a. Octaviano Interiors works with a selection of local and international suppliers and manufacturers to source retail products for our clients. While we strive to partner with reputable suppliers, we cannot be held liable for any delays, defects, or performance issues related to products supplied by external parties.
b. In the event that a supplier or manufacturer fails to deliver products as expected, Octaviano Interiors will work with the Client to pursue remedies available under the supplier or manufacturer's warranty or terms of sale. Octaviano Interiors shall not be responsible for any direct or indirect damages resulting from supplier or manufacturer issues.
8.2 Tradesmen and Contractors:
a. Octaviano Interiors may engage tradespeople and contractors for specific aspects of a design project, such as installation, construction, or renovation work. While we carefully select and oversee the work of these external parties, we cannot be held liable for any issues arising from their performance, including delays, substandard work, or property damage.
b. The Client acknowledges that Octaviano Interiors shall not be responsible for any liabilities associated with the performance of tradesmen and contractors engaged in the project.
8.3 Disrupted Freight and Shipping:
a. In the event of disrupted freight or shipping issues affecting the delivery of retail products, Octaviano Interiors will work to mitigate the impact on the project timeline. They will promptly communicate any delays to the Client.
b. Octaviano Interiors shall not be liable for any losses, damages, or inconvenience caused by disrupted freight or shipping issues beyond our control.
8.4 External Consultants/Manufacturers:
The Designer may engage external consultants and manufacturers, such as architects, contractors, or product suppliers, for specific aspects of the project. The Client acknowledges that the Designer will not be held liable for the performance, quality, or delivery of services/products provided by external parties.
9.0 Damage to Property Policy
9.1 Commitment to Care:
Octaviano Interiors is committed to providing interior design services with the utmost care and professionalism. In the event of damage to the Client's property, this policy outlines the procedures and responsibilities, emphasizing accountability for damage caused by third-party artisans, contractors, and consultants engaged by Octaviano Interiors.
9.2 Prevention and Diligence:
a. Preventative Measures:
Octaviano Interiors shall take all reasonable measures to prevent damage to the Client's property during the interior design process.
b. Diligence in Execution:
The design team will exercise diligence and care while handling furniture, fixtures, and any other items within the project scope. However, Octaviano Interiors acknowledges that certain activities involve third-party artisans, contractors, and consultants, and their liability is addressed below.
9.3 Reporting Damage:
a. Timely Reporting: In the event of any damage to the Client's property,
Octaviano Interiors commits to reporting the incident to the Client promptly.
b. Detailed Documentation: The design team will document the damage thoroughly, including photographic evidence and a written description of the incident.
9.4 Third-Party Liability:
a. Third-Party Accountability: Octaviano Interiors holds third-party artisans,
contractors, and consultants engaged by us accountable for any damage caused to the Client's property during the execution of their specific responsibilities.
b. Coordination for Resolution: In the event of damage caused by third parties, Octaviano Interiors will coordinate with the responsible parties to assess and rectify the situation promptly.
9.5 Client's Responsibilities:
a. Cooperation in Assessment: The Client is expected to cooperate in the assessment of the damage, providing any necessary information to facilitate a fair resolution.
b. Timely Communication: The Client should promptly communicate any concerns or additional information related to the damage.
9.6 Limitations and Liability
c. Limited Liability: Octaviano Interiors' liability for damage to property is limited to the cost of repair or replacement, as deemed reasonable by Octaviano
Interiors.
d. Liability for damage caused by third-party artisans, contractors, and consultants is subject to the terms of their respective contracts.
e. b. Exclusions: Octaviano Interiors is not liable for damage caused by factors beyond our control, including pre-existing conditions, natural disasters, or actions by third parties not engaged by Octaviano Interiors.
9.7 Insurance
a. Insurance Coverage: Octaviano Interiors maintains professional liability insurance. Any claims related to property damage will be handled in accordance with the terms of the insurance policy.
9.8 Review and Updates:
This Damage to Property Policy may be reviewed and updated periodically to ensure it remains aligned with the needs and expectations of both Octaviano Interiors and the Client.
10.0 Cancellation and Variation Policy
10.1 Cancellation by the Client:
a. If the Client wishes to cancel the design project before the activation of the project, a written notice of cancellation must be provided to the Designer.
b. In the event of cancellation by the Client before project activation, the Client may be liable for any costs and expenses already incurred by the Designer in relation to the project, including but not limited to design concept development, material sourcing, and consultation fees.
10.2 Cancellation by the Designer:
a. In the unlikely event that the Designer needs to cancel the project before activation due to unforeseen circumstances, the Designer will provide the Client with a written notice of cancellation and will refund any design fees or deposits paid by the Client.
10.3 Variation Policy
Prior to Activation:
a. The Client may request variations to the project scope, design concept, or selected products prior to the activation of the project. Any requested variations will be subject to the Designer's approval and may result in adjustments to the project timeline and budget.
b. The Designer will provide the Client with a detailed assessment of the proposed variations, including any associated changes to the project scope, timeline, and costs.
10.4 Post-Activation:
a. Once the project has been activated, any requested variations to the project scope, design concept, or selected products will be subject to additional charges. The Client will be liable for any costs incurred as a result of postactivation variations, including but not limited to design revisions, additional product procurement, and project management adjustments.
b. The Designer will provide the Client with a detailed assessment of the proposed post-activation variations, including a breakdown of the additional costs and timeline adjustments.
10.5 Approval of Variations:
a. The Client must provide written approval for any variations to the project scope, design concept, or selected products, both before and post-activation. The Designer will not proceed with any variations without the Client's explicit consent.
10.5 Limitation of Liability:
a. The Designer shall not be liable for any delays, costs, or damages resulting from variations to the project scope, design concept, or selected products, whether before or post-activation.
This policy outlines the procedures and liabilities associated with project cancellation and variations, including the differentiation between pre-activation and post-activation variations to manage potential costs and responsibilities.
11.0 Dispute Resolution:
In the event of a dispute between the parties, both parties agree to seek an amicable resolution through mediation or arbitration before pursuing legal action.
12.0 Termination Policy
12.1. Termination by the Client:
a. If the Client wishes to terminate the design project after signing the agreement but before project activation, the Client must provide written notice of termination to Octaviano Interiors.
b. In the event of termination by the Client before project activation, the Client will be responsible for reimbursing Octaviano Interiors for any costs, expenses, and non-recoverable deposits incurred by Octaviano Interiors in relation to the project, including but not limited to design concept development, material sourcing, and consultation fees.
12.2 Termination by Octaviano Interiors:
a. Octaviano Interiors reserves the right to terminate the design project if the Client fails to fulfil their obligations under the agreement, including but not limited to non-payment of fees, failure to provide the necessary information or breach of contractual terms.
b. In the scenario Octaviano Interiors terminates the project due to the Client's non-compliance, the Client will be liable for any costs, expenses, and nonrecoverable deposits incurred by Octaviano Interiors up to the termination date.
12.3 Termination After Project Activation:
a. If the Client wishes to terminate the design project after project activation, the Client will be responsible for reimbursing Octaviano Interiors for any costs, expenses, and non-recoverable deposits incurred by Octaviano Interiors up to the termination date, in addition to any additional costs associated with project termination.
12.4 Outstanding Payments:
a. In the event of termination, any outstanding payments for design services rendered, retail products procured, or additional costs incurred must be settled by the Client within a specified timeframe as outlined in the agreement.
12.5 Disposition of Design Materials:
a. Upon termination, any design concepts, deliverables, or materials developed by Octaviano Interiors for the project remain the intellectual property of Octaviano Interiors, and the Client must cease use of such materials.
13.0 Intellectual Property Clause
13.1 Ownership of Design Concepts and Deliverables:
a. All design concepts, creative work, and deliverables developed by Octaviano Interiors, including but not limited to sketches, drawings, plans, mood boards, material selections, and specifications, remain the intellectual property of Octaviano Interiors unless otherwise agreed upon in writing.
13.2. Client's Use of Design Concepts and Deliverables:
a. Upon full payment for the design services rendered, the Client is granted a non-exclusive license to use the design concepts and deliverables solely for the purpose of implementing the design project as outlined in the agreement. The Client may not reproduce, distribute, or use the design concepts and deliverables for any other purpose without the express written consent of Octaviano Interiors.
13.3. Modifications and Derivative Works:
a. The Client agrees not to modify, reproduce, or create derivative works based on the design concepts and deliverables provided by Octaviano Interiors without obtaining prior written consent. Any modifications or derivative works created without consent shall be considered a violation of Octaviano Interiors' intellectual property rights.
13.4. Transfer of Intellectual Property Rights:
a. Octaviano Interiors retains the right to display and promote the design concepts and deliverables, including photographs of the completed project, in its portfolio, marketing materials, and on its website unless the Client explicitly requests otherwise in writing.
13.5. Client's Intellectual Property:
a. Any pre-existing intellectual property provided by the Client for use in the project, including but not limited to logos, trademarks, or copyrighted materials, shall remain the property of the Client. Octaviano Interiors will respect the Client's intellectual property rights and may only use such materials as agreed upon for the specific project.
13.6. Indemnification:
a. The Client agrees to indemnify and hold Octaviano Interiors harmless from any claims, damages, or liabilities arising from the Client's unauthorized use, reproduction, or modification of the design concepts and deliverables provided by Octaviano Interiors.
This intellectual property clause helps to establish the ownership rights and permitted uses of design concepts and deliverables while protecting Octaviano Interiors' intellectual property. It also outlines the Client's responsibilities regarding the use and modification of the provided design materials.
14.0 Privacy and Confidentiality
14.1 Client's Confidential Data:
The Client acknowledges the importance of privacy and confidentiality in the interior design process. The Client shall clearly indicate what information is deemed confidential to them, ensuring that sensitive data, personal details, and proprietary information are identified.
a. Designer's Obligations: Octaviano Interiors agrees to maintain the confidentiality of all information designated as confidential by the Client. This includes, but is not limited to, design concepts, plans, personal details, and any sensitive or proprietary information disclosed during the interior desig
15.0 Governing Law: n project.
b. Non-Disclosure: Octaviano Interiors shall not disclose any confidential information to third parties without the explicit written consent of the Client.
c. Exceptions: Confidentiality obligations do not apply to publicly available information, become known to Octaviano Interiors without breach of this agreement, or are required to be disclosed by law.
14. 2 Waiver for Captured Photographic and Video Content:
a. Consent for Promotional Use: The Client acknowledges that Octaviano Interiors may capture and use photographic and video content of the project through various stages of the interior project for promotional and marketing purposes.
b. Client Approval: Octaviano Interiors will seek explicit approval from the Client before using any captured content for promotional purposes. The Client has the right to deny the use of specific content.
c. Usage Duration: Octaviano Interiors may use the captured content for promotional purposes indefinitely unless otherwise agreed upon in writing by both parties.
d. Client's Right to Deny Use: The Client retains the right to deny the use of captured content for promotional purposes by providing written notice to Octaviano Interiors.
14.3 Review and Updates:
This Confidentiality Policy may be reviewed and updated periodically to ensure it remains aligned with the needs and expectations of both Octaviano Interiors and the Client.
This agreement shall be governed by the laws of the state of Western Australia, and any disputes shall be resolved in the courts of Perth.

At Octaviano Interiors, we are committed to providing high-quality interior design products and ensuring customer satisfaction. Below is our Return & Refund Policy to guide you through the process should you need to return an item.
We accept returns on eligible items within 14 days of delivery if they meet the following conditions:
- The item is unused, undamaged, and in its original packaging.
- The return request is submitted within 14 days of receiving your order.
- The item is not listed under non-returnable items (see Section 4).
- Proof of purchase (order confirmation or receipt) is provided.
- Bespoke and custom orders are NOT eligible for return or refund (see Section 4).
To request a return, please follow these steps:
🚛 Return shipping costs are the responsibility of the customer unless the item is faulty or incorrect.
- Approved refunds will be issued to your original payment method within 7-10 business days after inspection.
- If an item was purchased using a store credit or gift card, the refund will be credited back to your store account.
- Shipping fees are non-refundable, except in cases of incorrect or damaged items.
The following items cannot be returned or refunded:
- Bespoke & custom-made products (e.g., made-to-order furniture, custom upholstery, personalized decor).
- Clearance or sale items (marked as final sale).
- Gift cards and store credits.
- Digital downloads and e-design services.
- Items damaged due to misuse, incorrect assembly, or negligence.
All bespoke, made-to-order, and custom items are final sale and not eligible for returns, exchanges, or refunds due to their personalized nature. This includes:

✔ Personalized decor pieces
✔ Tailor-made styling packages
Before placing a custom order, we encourage clients to review all details carefully. If you need assistance in selecting the right specifications, our team is happy to help before purchase.
If you receive an item that is damaged, defective, or incorrect, please contact us within 48 hours of delivery with:
- Photos of the damaged or incorrect item.
- Photos of the packaging (if applicable).
- Your order details.
Once verified, we will offer a replacement, store credit, or full refund, including return shipping costs.
We allow exchanges on eligible items within 14 days of receipt, subject to stock availability. If your preferred item is out of stock, a store credit will be issued.
- Custom orders cannot be exchanged, as they are made specifically to client specifications.
